Confidential Information

The inventor is clearly who's information and data is contained within addressed here to Singh Loyal although full names may be hidden for privacy puposes it is understood agreements are made accordingly. “Confidential Information” is any technical, scientific, medical, commercial, marketing, financial, or any other type of information related to products, services, projects, skills, activities, materials, equipment, processes, protocols, or customers communicated by the inventor and its related divisions, employees, employers, future engagements or customers to the inventor. This confidentiality covers the name and references of customers of the website weithin and any information given orally or by email by the inventor to anorther party.  All parties acknowledges that all such information shall be automatically considered Confidential Information.

By signing the present Confidentiality Agreement, by clicking on the box and etnering the party/user certifies and commits:

1. 1. To consider as strictly confidential and not divulge to any person by any means any or all information given by the inventor relating to any task performed before, during, or after the collaboration;
   2. To strictly limit the use of Confidential Information to the tasks involved in the possible collaboration with the inventor.
   3. To ensure strict confidentiality of all information given by the inventor by using all appropriate means, such as a secured computer system and passwords, for any person who could have access to the computer system or work premises in which the Confidential Information is stored.

The following sub-points detail what Confidential Information means.

1. Inventor Information:

During the term of this Agreement and in the course of another party/end user performance hereunder, they may receive and otherwise be exposed to confidential and proprietary information relating to the  inventor's business practices, strategies and technologies. Such proprietary and confidential information may include but is not limited to

1. 1. confidential and proprietary information supplied to Contractor, such as resources on the inventor's extranet, templates developed by the inventor, and any document owned by the inventor or its clients;
   2. the inventor’s marketing and customer support strategies; the inventor’s financial information, including sales, costs, profits and pricing methods;
   3. the inventor’s internal organization, employee lists, customer lists, and vendor lists;
   4. the inventor’s technology, including discoveries, inventions, research and development efforts, manufacturing processes, hardware/software design and maintenance tools, product know-how and show-how; and
   5. all derivatives, improvements and enhancements to any of the above which are created or developed by inventor under this Agreement and information of third parties as to which the inventor has an obligation of confidentiality (collectively referred to as “Confidential Information”).

1. General Communication

1. Talk – party viewing should understand that accidental or unwitting verbal disclosure is the most important source of loss, and that discussion of any inventor's business must not take place with anyone present who does not need to know, for example, with family and friends in public places, public transportation, meetings, conventions, and social gatherings. Viewing party agrees to take all possible care to protect the information.
2. Telephone – Viewing party agrees not to disclose vital information over the telephone without verifying the identification of the caller before disclosing information, and should ensure that the caller has a right and need to know any information requested concerning such projects. When there is any question or doubt, it is proper and necessary to delay, check the propriety of giving this information, and call back.
3. Other forms of communication – Viewing party agrees that any client information will not be disclosed or discussed through any other means of communication (e-mail, fax, etc.) with anyone outside the inventor or anyone within inventor's company(s) who does not need to and have a right to know such information. Viewing party should ensure that the caller has a right and need to know any information requested concerning clients or other company projects. In case of doubt, it is proper and necessary to delay, check the propriety of giving this information, and then reply.

1. Use of Confidential Information and Return of Inventor's Documents:

Inventor information

Viewing party acknowledges the confidential and secret character of the Confidential Information and agrees that the Confidential Information is the sole, exclusive, and extremely valuable property of the inventor.

Accordingly, Viewing party agrees

1. not to reproduce any of the Confidential Information without the iventor's prior written consent;
2. not to use the Confidential Information except in the performance of this Agreement; and
3. not to divulge all or any part of the Confidential Information in any form to any third party, either during or after the term of this Agreement.
4. not to subcontract the work assigned to any third party without prior written consent obtained from the inventor.

Upon termination of this Agreement for any reason including expiration of term, Viewing party agrees to cease using and to destroy or return to the inventorall whole and partial copies and derivatives of the Confidential Information, whether in Viewing party’s possession or under Contractor’s direct or indirect control.

Confidential documents and property

Viewing party also acknowledges the confidential and secret character of the workshop strategy, company/inventor information, and client property (if shared) and agrees that the Confidential Information is the sole, exclusive, and extremely valuable property of the inventor.

Accordingly, Viewing party agrees 

1. not to reproduce any of the Confidential Information;
2. not to use the Confidential Information except in the performance of this Agreement; and
3. not to divulge all or any part of the Confidential Information in any form to any third party, either during or after the term of this Agreement.
